Lattice License Terms

1. Scope

These License Terms apply to the use of Lattice (the "Technology"), a confidence-gated architecture for sequential models, developed and owned by Banly's, LLC. Use of Lattice is subject to a separate written license agreement. These terms describe the general conditions that apply to all Lattice licenses.

2. Grant of License

Subject to the terms of your executed license agreement, Banly's, LLC grants you a limited, non-exclusive, non-transferable license to use the Lattice core, documentation, and related materials for the purposes and scope specified in your license tier (Research, Developer, or Enterprise).

3. Restrictions

You may not: (a) reverse engineer, decompile, or disassemble the Technology except as permitted by law; (b) sublicense, sell, lease, or distribute the Technology to third parties without prior written consent; (c) remove or alter any proprietary notices; (d) use the Technology for any purpose outside the scope of your license.

4. Attribution

Developer and Enterprise licensees must display "Powered by Lattice" or equivalent attribution in a reasonably visible manner in products that incorporate the Technology. Research licensees must cite the Lattice paper in any academic publications that use or reference the Technology.

5. Intellectual Property

Lattice is patent-pending. All intellectual property rights in the Technology remain with Banly's, LLC. Your license does not transfer ownership. You may not assert any patent claims against Banly's, LLC or its licensees based on your use of the Technology.

6. Disclaimer

THE TECHNOLOGY IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. BANLY'S, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Results may vary based on your data and use case.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BANLY'S, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE TECHNOLOGY.

8. Termination

Your license terminates automatically if you breach these terms or your license agreement. Upon termination, you must cease all use of the Technology and destroy or return all copies.

9. General
